1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MVDS Solutions FZ-LLC ("Company," "we," "our," or "us") governing your use of the My Aris mobile application (the "App").

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE APP.

2. Description of Service

My Aris is a property management system (PMS) designed for short-term rental property managers. The App provides:

• Reservation management and calendar synchronization

• Guest communication and automated messaging

• Property listing management

• Analytics and performance reporting

• Cleaning and operational task management

• Integration with third-party services (Hostaway, Firebase, OpenAI, Google Translate)

• Review and rating management

• Notification services

3. Eligibility

To use My Aris, you must:

• Be at least 18 years of age

• Have the legal capacity to enter into binding contracts

• Not be prohibited from using the service under applicable laws

• Manage legitimate short-term rental properties

• Comply with all local laws and regulations regarding short-term rentals

4. Account Registration and Security

4.1 Account Creation

• You must provide accurate, current, and complete information

• You are responsible for maintaining the confidentiality of your account credentials

• You must notify us immediately of any unauthorized access

• One account per user; multiple accounts may be terminated

4.2 Account Responsibilities

• You are responsible for all activities under your account

• You must not share your account credentials

• You must use a strong, unique password

• You agree to accept responsibility for all activities that occur under your account

4.3 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms

• You provide false or misleading information

• Your account is inactive for an extended period

• Required by law or regulation

• At our sole discretion for any reason with notice

5. Acceptable Use Policy

5.1 Permitted Use

You may use My Aris only for:

• Managing legitimate short-term rental properties

• Communicating with guests professionally

• Accessing and analyzing your property data

• Lawful business purposes

5.2 Prohibited Conduct

You must NOT:

Illegal Activities:

• Use the App for any unlawful purpose

• Violate any local, national, or international laws

• Facilitate illegal rentals or transactions

• Engage in fraud, money laundering, or other criminal activities

Misuse of Service:

• Interfere with or disrupt the App's functionality

• Attempt to gain unauthorized access to any part of the App

• Use automated systems (bots, scrapers) without authorization

• Reverse engineer, decompile, or disassemble the App

• Remove or modify any proprietary notices or labels

Content Violations:

• Upload malicious code, viruses, or harmful content

• Post discriminatory, harassing, or abusive content

• Impersonate others or misrepresent your affiliation

• Violate intellectual property rights

Spam and Abuse:

• Send unsolicited messages to guests

• Abuse the messaging system

• Create fake reviews or manipulate ratings

• Engage in any form of spam or harassment

6. Hostaway Integration

6.1 Third-Party Service

My Aris integrates with Hostaway, a third-party property management platform. You acknowledge that:

• You must have a valid Hostaway account

• Hostaway's terms and conditions apply to that service

• We are not responsible for Hostaway's services or availability

• Integration functionality depends on Hostaway's API

6.2 Data Synchronization

• Data is synchronized between My Aris and Hostaway

• You are responsible for data accuracy in both systems

• Changes in one system may affect the other

• We are not liable for data synchronization issues caused by Hostaway

7. User Content and Data

7.1 Your Content

You retain ownership of all content you upload, including:

• Property information and listings

• Guest communications

• Photos and media

• Business data

7.2 License to Company

By using the App, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your content

• Use content to provide and improve the service

• Create aggregated, anonymized analytics

• Back up your data for service reliability

7.3 Content Responsibility

You are solely responsible for:

• The accuracy and legality of your content

• Obtaining necessary rights and permissions

• Compliance with data protection laws (GDPR, etc.)

• Guest data handling and privacy

7.4 Prohibited Content

You must not upload content that:

• Violates any third-party rights

• Contains personal information of minors

• Is defamatory, obscene, or offensive

• Violates any applicable laws

8. Intellectual Property Rights

8.1 Company Property

The App, including all content, features, functionality, and design, is owned by MVDS Solutions FZ-LLC and is protected by:

• Copyright laws

• Trademark laws

• Patent laws

• Trade secret laws

• Other intellectual property rights

8.2 Trademarks

"My Aris" and associated logos are trademarks of MVDS Solutions FZ-LLC. You may not use these without written permission.

8.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and use the App on your device

• Access and use the service for its intended purpose

This license does not include:

• Resale or commercial use

• Collection or use of data for third parties

• Derivative works or modifications

• Any use that competes with our business

9. Payment and Subscription

9.1 Fees

Access to My Aris may require payment of subscription fees. Current pricing is available in the App or on our website.

9.2 Payment Terms

• Fees are charged in advance on a recurring basis (monthly/annually)

• Payment is processed through third-party payment processors

• You authorize us to charge your payment method

• All fees are non-refundable except as required by law

9.3 Price Changes

We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

9.4 Late Payment

If payment fails:

• Your account may be suspended

• You will be notified and given opportunity to update payment

• Access will be restored upon successful payment

• We may charge late fees where permitted by law

9.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

10. Third-Party Services and Integrations

10.1 External Services

The App integrates with third-party services including:

• Hostaway (property management)

• Firebase/Google Cloud (infrastructure)

• OpenAI (AI features)

• Google Translate (translation services)

• Expo (notifications)

10.2 Third-Party Terms

Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services.

10.3 Service Availability

We do not guarantee:

• Continuous availability of third-party integrations

• Accuracy of third-party data

• Third-party service performance

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OR RELIABILITY

• UNINTERRUPTED OR ERROR-FREE OPERATION

11.2 No Guarantee

We do not guarantee that:

• The App will meet your requirements

• Service will be uninterrupted or error-free

• Defects will be corrected

• The App is free from viruses or harmful components

• Data will not be lost or corrupted

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MVDS SOLUTIONS FZ-LLC SHALL NOT BE LIABLE FOR:

Indirect Damages:

• Lost profits or revenue

• Loss of data or business opportunities

• Business interruption

• Reputational harm

• Consequential, incidental, or punitive damages

Direct Damages:
Our total liability for any claims shall not exceed the greater of:

• The amount you paid us in the 12 months before the claim, or

• USD $100

11.4 Exceptions

Some jurisdictions do not allow limitation of implied warranties or liability for incidental damages. In such cases, our liability is limited to the maximum extent permitted by law.

11.5 Your Responsibilities

You are responsible for:

• Compliance with rental laws and regulations

• Proper use of guest data

• Accuracy of information provided

• Taxes related to your rental business

• Obtaining necessary licenses and permits

• Insurance coverage for your properties

12. Indemnification

You agree to indemnify, defend, and hold harmless MVDS Solutions FZ-LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your violation of any third-party rights

• Your content and data

• Your rental business activities

• Your violation of any laws or regulations

13. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, incorporated by reference into these Terms, explains:

• What information we collect

• How we use and share information

• Your rights regarding your data

• Our data security practices

By using the App, you consent to our privacy practices as described in the Privacy Policy.

14. Communications

14.1 Electronic Communications

By using My Aris, you consent to receive electronic communications from us, including:

• Service notifications

• Account updates

• Security alerts

• Marketing messages (with opt-out option)

• Legal notices

14.2 Contact Information

You agree to maintain current contact information and to notify us of any changes.

15. Modifications to Terms

15.1 Right to Modify

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Email notification

• In-app notice

• Posting updated Terms in the App

15.2 Acceptance

Continued use of the App after changes constitutes acceptance of modified Terms. If you do not agree, you must stop using the App.

16. Termination

16.1 Termination by You

You may terminate your account at any time by:

• Using the account deletion feature in the App

• Contacting customer support

16.2 Termination by Us

We may terminate or suspend your access immediately if:

• You breach these Terms

• Required by law

• Your account is inactive for extended periods

• At our discretion with reasonable notice

16.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately

• Your data may be deleted after a retention period

• Sections that should survive termination will remain in effect

• You remain liable for any outstanding obligations

17. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except:

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Ras Al Khaimah, without regard to conflict of law principles.

18.2 Jurisdiction

Subject to the arbitration agreement, you consent to the exclusive jurisdiction of the courts in Ras Al Khaimah, UAE.

18.3 International Users

If you access the App from outside the UAE, you are responsible for compliance with local laws.

19. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including:

• Natural disasters

• War, terrorism, or civil unrest

• Government actions or regulations

• Internet or telecommunications failures

• Third-party service disruptions

• Pandemics or public health emergencies

20. Severability

If any provision of these Terms is found to be unenforceable or invalid:

• That provision shall be limited or eliminated to the minimum extent necessary

• The remaining provisions shall remain in full force and effect

• The invalid provision shall be replaced with a valid provision that best reflects the original intent

21. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published in the App, constitute the entire agreement between you and MVDS Solutions FZ-LLC regarding the App.

22. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

23. Assignment

23.1 By Company

We may assign or transfer these Terms and our rights and obligations without restriction.

23.2 By You

You may not assign or transfer these Terms or your rights without our prior written consent. Any unauthorized assignment is void.

24. Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflicts, the English version prevails.

26. Special Provisions

26.1 Apple App Store

If you download the App from the Apple App Store, you acknowledge that:

• These Terms are between you and MVDS Solutions FZ-LLC, not Apple

• Apple has no obligation to provide support

• Apple is not responsible for the App or its content

• Apple is a third-party beneficiary of these Terms

• Apple and its subsidiaries are third-party beneficiaries entitled to enforce these Terms

26.2 Google Play Store

If you download the App from Google Play, you agree to the Google Play Terms of Service in addition to these Terms.

Acknowledgment: By using My Aris, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
